Terms of Service

1. Acceptance of Terms

By accessing or using Yocopo ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization and represent that you have the authority to do so.

2. Description of Service

Yocopo provides policy management software that allows organizations to create, manage, approve, and track acknowledgements of corporate policies.

3. Account Registration

  • You must provide accurate and complete information when creating an account
  • You must use a valid business email address
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You must be at least 18 years old to use the Service

4. Subscription and Billing

  • The Service operates on a subscription basis at £1 per user per month
  • A minimum of 10 user seats is required for paid subscriptions
  • Billing occurs monthly in advance
  • You are responsible for adjusting your seat count as your team size changes
  • Payment processing is handled securely by Stripe
  • We reserve the right to change pricing with 30 days notice to existing customers

5. Subscription Changes and Cancellation

  • You may upgrade or downgrade your seat count at any time (subject to the 10-seat minimum)
  • Changes to seat count are prorated
  • You may cancel your subscription at any time
  • Upon cancellation, you will retain access until the end of your current billing period
  • No refunds are provided for partial billing periods

6. Free Tier

  • Single-user accounts may use the Service free of charge
  • Free tier accounts have access to all features
  • We reserve the right to modify or discontinue the free tier with reasonable notice

7. Your Data and Content

  • You retain all rights to the content you upload to the Service (policies, documents, etc.)
  • You grant us a limited license to host, store, and display your content solely for the purpose of providing the Service
  • You are responsible for ensuring you have the necessary rights to upload any content
  • You must not upload content that is illegal, infringes on others' rights, or violates these Terms

8. Our Rights and Responsibilities

  • We will make reasonable efforts to keep the Service available and secure
  • We may modify, suspend, or discontinue any part of the Service with reasonable notice
  • We reserve the right to refuse service to anyone for any reason
  • We may update these Terms from time to time by posting the updated version

9. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service
  • Upload malicious code, viruses, or harmful content
  • Use the Service to spam or harass others
  • Scrape or copy content using automated means without permission

10. Account Suspension and Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails and remains unpaid beyond the grace period
  • We are required to do so by law
  • You engage in fraudulent or abusive behavior

You may terminate your account at any time through your account settings or by contacting us.

11. Data Export and Deletion

  • You may export your data at any time in PDF or DOCX format
  • Upon account termination, we will delete your data within 30 days unless legally required to retain it

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.

15. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
